These Terms form the agreement between you (the customer) and Basher AI Limited when you access or use the Basher platform. If a signed order form or master services agreement exists with us, that document prevails where it conflicts with these Terms.
1. Acceptance
By creating an account, logging in, or using the Basher platform (the “Service”), you agree to these Terms. If you're accepting on behalf of a company or another legal entity, you confirm you have authority to bind that entity.
2. Your account
You're responsible for keeping your credentials secure and for any activity that happens under your account. If you think your account has been compromised, email security@basherai.com straight away and we'll help you secure it.
You must be at least 18 years old, legally able to enter a binding contract, and not barred from using the Service under applicable law.
3. Acceptable use
You agree not to use the Service to:
- Place calls that are unlawful, defamatory, or violate another person's rights.
- Impersonate a person or organisation in a way designed to deceive the called party.
- Circumvent our rate limits, abuse-prevention controls, or security measures.
- Reverse-engineer the Service or use it to build a directly competing product.
- Upload content that contains malware, illegal material, or data you don't have the right to process.
Breach of this section is grounds for immediate suspension while we investigate.
4. Your content
You own the content you upload (flows, prompts, knowledge bases) and the call data generated by your use of the Service (“Customer Data”). You grant us a limited licence to process Customer Data only to operate the Service, provide support, and meet our legal obligations.
We will not use Customer Data to train foundation models. Where we use aggregated, de-identified performance data to improve the Service, we'll make sure it cannot be re-identified.
5. Fees & billing
Fees are set out in your order form. Unless stated otherwise, all fees are in Saudi Riyal (SAR) and exclusive of VAT, which we'll charge where applicable.
Subscription fees are billed in advance on a monthly or annual basis. Usage-based fees (voice minutes, overages) are billed in arrears at the end of each billing cycle. Late payments may accrue interest at 1% per month, capped at the legal maximum.
Annual commitments qualify for published discounts. Downgrades take effect at the next billing cycle. Refunds are at our discretion, except where required by law.
6. Term & termination
These Terms apply for as long as you use the Service. You can terminate your account at any time on 30 days' notice by writing to billing@basherai.com.
We may suspend or terminate access if you materially breach these Terms, if we're legally required to, or if your account shows prolonged abuse or non-payment. We'll tell you why, and we'll give you a reasonable window to export your data unless doing so would violate the law.
7. Warranty disclaimer
The Service is provided “as is” and “as available”. We don't warrant that the Service will be uninterrupted or error-free, or that every call will produce the outcome you wanted. Enterprise customers get an SLA as part of their order form; otherwise, no warranty is given beyond what applies by law.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages, or for lost profits or revenues. Our total aggregate liability for claims arising out of or related to these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim.
Nothing in this section limits liability for fraud, wilful misconduct, personal injury, or any liability that cannot be limited under applicable law.
9. Governing law
These Terms are governed by the laws of the Kingdom of Saudi Arabia for customers resident in KSA, and by the laws of England & Wales for customers elsewhere. Disputes will be resolved in the competent courts of the applicable jurisdiction, unless an order form specifies arbitration.
10. Changes & contact
We may update these Terms. If we make a material change, we'll notify you at least 30 days before it takes effect — by email, in-app notice, or both. Continued use after the effective date means you accept the update.
